Effective Date and Acceptance

These Terms of Service ("Terms") are effective as of October 1, 2023. By accessing the ModVault website, requesting a consultation, or utilizing our digital platforms, you agree to be bound by these Terms. If you do not agree to these Terms, you are prohibited from using the Services. ModVault reserves the right to update these Terms at any time; continued use of the site constitutes acceptance of any changes.

Website Use: Permitted and Prohibited Conduct

Permitted Uses: You may access the Services for informational purposes, internal business research, and to evaluate ModVault's expertise. You may not use the website to transmit viruses, malicious code, or any form of spam.

Prohibited Conduct: You agree not to reverse engineer, decompile, or disassemble any software or proprietary technology hosted on the ModVault platform. You may not use the site to violate any local, state, national, or international law or regulation. Unauthorized reproduction, redistribution, or commercial exploitation of content is strictly prohibited.

Intellectual Property Ownership

ModVault owns all proprietary rights, title, and interest in and to the content, software, databases, and the Modular Operating Model (MOM) frameworks presented on this site. This includes all text, graphics, logos, and documentation. Access to downloadable whitepapers, templates, or frameworks is granted solely for your internal use under a limited, non-exclusive, non-transferable license. You may not copy, modify, distribute, or create derivative works of these materials without express written consent from ModVault.

Interaction with Client Engagements

These Terms serve as the foundational framework for our relationship. However, specific project deliverables, timelines, fees, and scope are governed by separate Engagement Letters and Statements of Work (SOWs) executed between you and ModVault. In the event of a conflict between these Terms and a specific SOW, the terms of the SOW shall prevail to the extent of the conflict. These Terms do not create a partnership, joint venture, or agency relationship between ModVault and the Client.

Disclaimers: Nature of Services

The Services provided by ModVault are advisory in nature and constitute professional consulting services. ModVault does not guarantee specific financial outcomes, operational metrics, market performance, or business growth. The information, analysis, and recommendations provided are based on the current state of the Client's business and are subject to inherent uncertainties. The Services are not a substitute for professional legal, accounting, or financial advice.

Limitation of Liability

To the fullest extent permitted by law, ModVault shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services. ModVault's total liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to ModVault under the applicable Engagement Letter in the twelve months preceding the claim.

Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of law principles. You hereby submit to the non-exclusive jurisdiction of the state and federal courts located in New York for the resolution of any such disputes.
